1. Scope of Services

Rankisity ("Provider") offers custom website design, development, hosting, and maintenance services to businesses in Maine and surrounding areas ("Client"). Services may include, but are not limited to: website design and build, lead capture portal access, monthly content updates, security and uptime monitoring, and optional add-ons such as Google Business Profile setup or professional email configuration. The exact scope of work for each engagement will be outlined in the proposal or agreement signed by Client.

2. No Guaranteed Outcomes

Website performance — including lead volume, conversion rates, search visibility, and revenue — depends on many factors outside Provider's control, including industry demand, competitive landscape, pricing, customer service, and operational execution by Client. While Rankisity delivers websites built to industry best practices for speed, mobile responsiveness, accessibility, and conversion, no specific lead volume, ranking, or revenue outcome is guaranteed.

3. Revisions and Satisfaction

  • Each pricing tier includes a defined number of revision rounds (1 round for Starter, 2 for Standard, 3 for Premium).
  • Provider will work in good faith to align the final deliverable with Client's brand and goals during the included revision rounds.
  • Additional revisions beyond the included rounds may be purchased at Provider's standard hourly rate.

4. Client Responsibilities

To enable Provider to deliver services, Client must:

  • Provide timely access to brand assets, content, domain registrar, existing hosting (if migrating), and any required third-party accounts.
  • Supply accurate and updated business information.
  • Respond to design feedback requests within a reasonable timeframe so the project can stay on schedule.
  • Pay invoices according to the agreed schedule.

Delays caused by Client may extend project timelines and do not entitle Client to a refund or fee reduction.

5. Payment Terms

  • Setup fees are billed 50% on signing and 50% on launch unless otherwise agreed in writing.
  • Setup deposits are non-refundable once design work begins.
  • Monthly fees are billed in advance and are required for ongoing hosting, lead portal access, and content updates.
  • Late payments may result in suspension of hosting, the lead portal, and other monthly services until payment is received.

6. Ownership of Work

  • Website code, content, and domain become the property of Client once fully paid for the setup.
  • Proprietary processes, internal tools, reusable components, and templates remain the property of Rankisity.
  • Provider may include completed projects in its portfolio and marketing materials unless Client requests otherwise in writing.

7. Termination

  • The monthly plan is month-to-month. Client may cancel at any time with no penalty.
  • Upon cancellation of the monthly plan, Client retains ownership of the website code, domain, and content. Provider will assist with migration to another host at Provider's standard hourly rate.
  • If Client terminates the engagement before the initial site is launched, the 50% setup deposit is forfeited and no further fees are owed.

8. Limitation of Liability

Rankisity's total liability under this Agreement shall not exceed the total fees paid by Client in the twelve (12) months preceding the event giving rise to the claim. Provider shall not be liable for indirect, incidental, special, or consequential damages, including lost profits or revenue.

9. Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Maine, without regard to its conflict of laws principles. Any disputes arising under this Agreement will be resolved through binding arbitration conducted in the State of Maine, unless otherwise required by applicable law.

10. Entire Agreement

This document, together with any signed proposal or statement of work, constitutes the entire agreement between Rankisity and Client and supersedes all prior representations, promises, or discussions, whether written or oral.
